Role and Responsibilities

As a Tax Manager, you will use your expertise to provide corporate tax and M&A consulting services to clients and firm personnel. Candidate must be familiar with tax consulting processes and possess the analytical skills necessary for the effective diagnoses, development and implementation of solutions to clients' tax needs. With RSM, you will have the opportunity to develop and pursue creative approaches to resolve client issues.

The successful candidate will be a self-starter capable of working with minimum supervision. This position requires the candidate to be comfortable consulting with RSM Tax Partners and business owners involved in corporate transactions. Experience with Private Equity Firms, Consolidated Groups, and Privately Owned Corporations is required. Proficiency with numbers is essential as this position will entail engagements such as Section 382 Analysis, E&P Studies and Basis Studies. An ability to communicate clearly on complex matters both orally and in writing is very important. In additional, this position will include significant technical writing and thought leadership regarding complex corporate tax related issues.

In your important role as Tax Manager you will be responsible for the following:

  • Advise clients on a full spectrum of corporate tax services, including planning, research, compliance, and general mergers and acquisitions activities
  • Assist with new business development, extended service and tax issue recognition for existing clients and creating sustainable relationships
  • Develop, motivate, and train staff level team members
  • Manage corporate client needs with respect to tax services and federal and state tax compliance
  • Keep up-to-date on current tax practices and changes in tax law
  • Work with and assist other senior members of the Corporate Tax and M&A practice with various technical tax issues related to corporate reorganization provisions, consolidated tax return regulations, taxable and partially taxable transactions, and Private Equity transactions
  • Aid clients with reorganizations, bankruptcy emergence planning, out of court workouts, debt restructurings, tax basis and Earning and Profits analyses, and Section 382 studies

Basic Requirements:

  • Minimum of 5 years experience in Government, public accounting, law firm or any combination with a focus on Subchapter C of the Code (sections 301-385) and M&A
  • Experience with Private Equity Firms, Consolidated Groups, and Family Owned Corporations
  • CPA with a Masters in Taxation or J.D. degree (L.L.M. in Taxation is a plus)

Preferred Qualifications:

  • Experience in work under Code section 382 and the Consolidated Return Regulations (Reg. section 1.1502 et seq)
  • Proficient in data compilation and analysis
  • Ability to handle multiple engagements
  • Strong verbal and written communication skills with the ability to articulate complex information
